These Terms of Use ("Terms") govern your access to and use of the websites and online services operated by JMAC Lending, Inc. ("JMAC," "we," "us"), including jmaclending.com, jmaclending.ai (including the JMAC Intelligence AI tools, such as Scenario Desk), the JMAC Connect partner portal, and any other JMAC-operated site or authenticated tool that links to these Terms (together, the "Services"). Sol Mortgage (solmortgage.com) has its own terms of use and privacy policy and is not covered by these Terms.
1. Acceptance of these Terms
By accessing or using the Services you agree to these Terms. Our Privacy Policy at jmaclending.com/privacy-policy describes how we handle personal information; it is a notice of our practices, not part of this contract, and nothing in these Terms waives a privacy right that cannot be waived. Where we refer to our Consumer Privacy Notice, we mean the notice we give under the Gramm-Leach-Bliley Act in connection with a loan or other financial product. If you do not agree, do not use the Services. If you use the Services on behalf of a company (for example, a mortgage broker or correspondent partner), you accept these Terms both for yourself and on behalf of that company, you represent that you are authorized to do so, and "you" includes that company. Your company remains responsible for its obligations under any agreement it has executed with JMAC.
Some tools present additional terms before access, and some are governed by an executed agreement (for example, the JMAC Wholesale Mortgage Broker Agreement or a correspondent purchase agreement). If those documents conflict with these Terms, those documents control for the parties and tools they cover.
2. Changes to these Terms
We may update these Terms from time to time. The current version, with its effective date and version number, is posted on this page. Revised Terms will be posted with a new effective date. We may also notify registered users of material changes through a notice in the Services or by email. Where revised Terms are presented for acceptance, you must accept them to continue using the affected tool. Otherwise, continued use after receiving notice of the changes constitutes acceptance to the extent permitted by law. Changes apply prospectively and do not apply to claims that accrued before the new effective date. Amendments to a separately executed agreement are governed by that agreement.
3. Who the Services are for
The Services are intended for users in the United States who are at least 18 years old. Do not use the Services if you are under 18.
Professionals. Program descriptions, matrices, rate sheets, pricing tool results, turn times, bulletins and similar materials on the Services are business-to-business communications intended for licensed real estate and lending professionals and are not directed to consumers. You may not reproduce them in, or use them to create, consumer-facing advertising or marketing without JMAC's prior written approval. This paragraph does not restrict disclosures required by law or ordinary-course communications between you and your own client about that client's loan. Non-public pricing, guidelines, matrices, program materials and pricing tool results we make available to you are intended solely for mortgage professionals and business entities, are confidential, and you will not publish them or share them with anyone other than your own client in connection with that client's loan, your employees and advisers who need them for that purpose, or as the law requires. This does not apply to information that becomes public other than through a breach of these Terms. You are responsible for complying with the licensing, advertising, privacy and other laws that apply to your business and for how you use content from the Services with your own clients.
Homeowners and the public. Pages addressed to homeowners (for example, servicing and payment information) are informational only. JMAC lends through mortgage professionals and does not accept loan applications from consumers through the Services. If your loan is serviced by another company, that company's terms and privacy practices govern your use of its portal. Sections 5 and 14 of these Terms apply to professional and authenticated users, including anyone who registers for an account; Section 6 applies to anyone who uses a JMAC Intelligence tool, including the chat assistant on jmaclending.com.
4. No offer, no commitment to lend, no advice
Nothing on the Services is a loan approval, prequalification, rate quote, rate lock, or commitment to lend. All programs, guidelines, pricing, terms and turn times are subject to change without notice and to underwriting review of a complete file. Turn-time figures are estimates, not guarantees. Informal communications from JMAC or its personnel, such as email, chat and text messages, do not create or change a rate lock, approval, exception or commitment to lend; those exist only when issued as official records through the applicable workflow, whatever the delivery channel. We may correct errors in pricing, calculations and content on the Services at any time; a figure that results from such an error is not a quote, lock or commitment, and a correction does not affect an official record issued through the applicable workflow. We have no obligation to update content on the Services except as the law requires. Content on the Services is not legal, tax, financial or investment advice. These limitations apply to informational content, generated responses and preliminary scenario guidance. They do not modify an executed agreement, a rate-lock confirmation, an underwriting decision, a legally required disclosure or any other official loan record issued by authorized JMAC personnel or systems through the applicable workflow, and if a generated response differs from an official record, the official record controls. JMAC Lending, Inc. NMLS #53112. Equal Housing Opportunity. Licensing information: jmaclending.com/licensing.
5. Accounts and partner tools
Partner tools. Access to JMAC Connect, Scenario Desk and the other tools we offer only to approved partners is limited to approved brokers, correspondent partners, their authorized users, and JMAC personnel. You are responsible for keeping your credentials confidential, including any one-time sign-in codes, for activity you authorize, and for unauthorized activity resulting from your failure to comply with these Terms. Notify us promptly, using the contact information in Section 17, if you suspect unauthorized access. Do not share credentials or use another person's account. Loan files, documents and data submitted through JMAC Connect are governed by your company's executed agreement with JMAC and our privacy notices, not by Section 8 of these Terms. We may suspend or terminate access to any tool or account at any time, with or without notice, including for suspected misuse, security risk, or termination of the underlying partner relationship.
Website accounts. You may create an account on jmaclending.com to use features that require sign-in. Accounts are for mortgage professionals who originate loans with JMAC or are evaluating whether to, and for JMAC personnel. By registering you represent that you are acting in a business capacity and that the account is for your own use. You also represent that you and your company hold any license or registration the law requires for your role, and you will tell us if that changes. You must give accurate, current and complete information when you register, including your own name and any company or NMLS identifier we request, and keep it up to date. An account is for one person: do not share it, create more than one, or register for someone else. Giving us a phone number when you register is not consent to marketing calls or texts, which Section 11 addresses. You authorize us to verify, at any time, the information you give us, including through NMLS records and other sources, to decide whether to do business with you. We may decline any registration in our discretion, and we may limit, suspend or close any account at any time, including while we review the information you give us, if that information is inaccurate or cannot be verified, or if the account is misused. We may close accounts that have been inactive for an extended period.
6. AI-Assisted Tools (JMAC Intelligence)
JMAC Intelligence is the family of AI-assisted tools we make available through the Services. Some, such as Scenario Desk, are authenticated tools for approved mortgage professionals and JMAC personnel; others are available without signing in, subject to any limits we set. This Section applies to every JMAC Intelligence tool. If you use a JMAC Intelligence tool as a visitor without signing in, the provisions below about verifying output against guidelines, consumer-facing reuse, loan-file retrieval, support workflows and executed agreements apply only to professional and authenticated users; everything else in this Section applies to you. When you use a JMAC Intelligence tool you are interacting with an artificial-intelligence system, not a human, unless we tell you that a person is responding. JMAC Intelligence tools are business tools, and are not designed to simulate companionship or a personal relationship.
(a) Informational only. JMAC Intelligence responses are generated by AI models from guidelines, program materials and other data sources, and may be incomplete, outdated or incorrect. They are not underwriting decisions, prequalifications, approvals, denials, income or asset calculations, pricing, rate quotes, lock confirmations, exception approvals, or commitments to lend. No JMAC Intelligence tool makes or decides eligibility, pricing or loan terms; those are determined through JMAC's underwriting, pricing and lock processes. Outputs are not JMAC guidelines or interpretations of them, do not waive or modify any guideline, condition or agreement, and do not bind JMAC in any underwriting, purchase, repurchase or indemnification matter. JMAC Intelligence is not a consumer reporting agency, and its output is not a consumer report under the Fair Credit Reporting Act.
(b) Verify before relying. You agree to independently verify AI output against current JMAC guidelines and the governing agency or investor handbook before relying on it, and to escalate edge cases through the channels JMAC provides for that purpose. JMAC is not responsible for decisions you make in reliance on AI output. Warnings or citations shown with a response do not change this Section, and the absence of a warning does not reduce your obligation to verify.
(c) No consumer-facing reuse. You will not forward, quote, screenshot or present JMAC Intelligence output to any consumer as an approval, eligibility determination, rate quote or commitment to lend, and you will not use it to create borrower-facing advertising or communications subject to Regulation Z (12 C.F.R. § 1026.24), the Mortgage Acts and Practices Advertising Rule (Regulation N, 12 C.F.R. Part 1014), HUD's FHA advertising requirements, or comparable state rules. This does not restrict disclosures required by law or ordinary communications with your own client about that client's loan, so long as you do not present output as a JMAC decision or commitment.
(d) Inputs. You represent that you have all rights and authority needed to submit each prompt, scenario, loan number or file ("Inputs"), including any borrower, third-party or investor information. If you submit a loan number or request help on a specific loan, you represent that you are authorized on that loan and you authorize JMAC to retrieve and use information from the related loan file to respond. Do not submit Social Security numbers, account or payment-card numbers, credentials or one-time codes, or documents you are not authorized to share, and do not submit personal information beyond what the scenario requires. JMAC reserves the right to reject, redact or delete Inputs that violate this section.
(e) How Inputs are treated. You grant JMAC a non-exclusive, worldwide, royalty-free, irrevocable license, which we may exercise through our service providers, to use Inputs and outputs to operate, secure, support, evaluate and improve the Services, including quality control, prompt design, and improving the accuracy, safety and performance of our AI systems. Our handling of personal information is described in our Privacy Policy and, for information it covers, our Consumer Privacy Notice. We keep Inputs and outputs as described in our Privacy Policy. To deliver JMAC Intelligence we rely on third-party AI platform and model providers, which process Inputs and outputs on our behalf under our agreements with them. Notwithstanding Section 8 (Feedback), Inputs that contain personal information about a consumer, nonpublic personal information under the Gramm-Leach-Bliley Act, broker-shop confidential information, or third-party investor information remain subject to those laws and notices and are not treated as unrestricted JMAC property. Please do not include in Inputs information you are not permitted to share with us and our service providers.
(f) Logging and review. We may log and review Inputs, outputs and related metadata for support, quality control, security, compliance and recordkeeping, as described in our Privacy Policy, and we may correct, withdraw or supersede any response at any time.
(g) Outputs license. You may use JMAC Intelligence outputs in your business for the loan scenarios to which they relate, subject to Section 6(c). Outputs include any generated text, tables, files and images, and may summarize or quote agency handbooks, JMAC guidelines and other source materials, which remain subject to their owners' rights and Section 9. You may retain outputs in your records as your compliance obligations require and disclose them where the law requires. Otherwise, you may not resell or publish outputs, represent them as JMAC decisions, or use them to train, benchmark or build competing AI systems. Outputs are not exclusive to you, and other users may receive the same or similar outputs; this does not permit disclosure of personal or confidential information protected under Section 6(e). We have no obligation to store Inputs or outputs for you or to return them, so keep your own copies as this Section allows; this does not affect records we keep under our Privacy Policy, the law or an executed agreement.
(h) Third-party data services. JMAC Intelligence tools may retrieve information from third-party services (for example, product, pricing and valuation platforms) to respond to your request, and we may share relevant Inputs with those services, under our agreements with them, as needed to fulfill your request. Third-party data may be delayed, incomplete or inaccurate and is subject to the provider's own terms, and it does not change Section 6(a): no response is a rate quote, lock or commitment to lend.
(i) Support workflows. Any review, escalation or support feature we offer is a courtesy, not a service-level commitment, and any response-time figure is a goal, not a guarantee. Review responses are subject to the same limitations as other JMAC Intelligence responses unless they are issued as an official record through the workflows described in Section 4.
(j) Executed agreements control. For broker and correspondent entities, use of JMAC Intelligence tools and other online tools is incident to your executed agreement with JMAC, and that agreement (including its indemnification, governing-law and dispute-resolution provisions) governs entity-level obligations.
(k) Tool rules. We may decline or filter any request, restrict topics or features, and post additional rules for a JMAC Intelligence tool, which you agree to follow.
7. Acceptable use
You agree not to: (a) use the Services for any unlawful, fraudulent or malicious purpose; (b) access or attempt to access accounts, systems or data you are not authorized to access; (c) probe, scan or test the vulnerability of the Services or bypass access, rate or content controls, including prompt-injection or jailbreak attempts against AI tools; (d) scrape, harvest, bulk-download or systematically extract content or data, or use robots, spiders or similar automated tools, except public search engines indexing public pages; (e) use content from the Services to train, fine-tune or ground an AI model or dataset without JMAC's prior written consent; (f) upload malware or other harmful code; (g) impersonate any person or entity or misrepresent your affiliation; (h) interfere with the operation of the Services or other users' use of them; (i) frame or mirror the Services or use JMAC's marks in metadata or hidden text without written consent; or (j) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, model weights, system prompts or underlying structure of the Services or any JMAC Intelligence tool, except to the extent applicable law prohibits that restriction; or (k) access, query or interact with the Services through any bot, crawler, script, headless browser, AI agent or other automated means, or allow any automated system to operate under your credentials, without our prior written consent; or (l) use the Services, or register for an account, to gather information for or on behalf of a lender or investor that competes with JMAC, a pricing engine, a data aggregator or a data vendor, or to build or improve a competing product or service, unless we have agreed in writing; comparing JMAC's programs and pricing with other lenders' in your own origination business is not a violation of this item; or (m) send spam or other unsolicited bulk messages through the Services, or collect contact details from the Services to do so; or (n) submit or post content that is unlawful, defamatory, infringing or that you have no right to share. Ordinary linking to pages on the Services is permitted, as are public search engines indexing public pages, ordinary browser features, and assistive technologies; none of these exceptions permits bypassing access controls or bulk extraction.
We may investigate suspected violations, remove content, suspend access and cooperate with law enforcement. We may monitor use of the Services as described in our Privacy Policy.
8. Submissions and feedback
If you submit ideas, suggestions or feedback about the Services, you grant JMAC a non-exclusive, perpetual, irrevocable, royalty-free license to use them without restriction or compensation. This section does not apply to (i) personal information, which is handled under our Privacy Policy and Consumer Privacy Notice, (ii) JMAC Intelligence Inputs described in Section 6(e), or (iii) loan files and application materials, which are governed by the applicable executed agreement, or (iv) confidential information belonging to others.
If you take part in a research session, usability test or recorded demonstration at our request, we may record the session, including your screen and your voice, to evaluate and improve the Services. We will tell you before recording begins and obtain any consent the law requires. Participation is voluntary and you may stop at any time. We own the recording and will not use it for marketing or publicity without your separate written permission. What we show you in those sessions is confidential, except information that becomes public other than through a breach of these Terms or that you must disclose by law.
Information you submit through any form on the Services should be accurate and submitted with any consents required from the people it concerns. Responses to a submitted scenario are preliminary, based only on the information you supply, and are not an approval or a pricing commitment.
Careers pages. Job postings describe roles we may fill and are not an offer of employment or of any particular pay, benefits or terms; we may change, fill or withdraw a posting at any time. Applying, completing an assessment or using a careers tool does not create a contract or obligate us to respond, interview or hire, and any offer is made only in writing. How we handle applicant information, including automated screening, is described in our Privacy Policy.
9. Intellectual property
The Services and their content, design, logos and marks are owned by JMAC Lending, Inc. or its licensors and are protected by U.S. and international law. We grant you a limited, revocable, non-exclusive license to access the Services and to use materials we make available for your business with JMAC, including evaluating whether to do business with us. Approved partners may use JMAC-provided marketing materials solely in accordance with JMAC's guidelines and applicable law. Any other copying, modification, distribution or public display requires our prior written permission. Third-party names and marks belong to their respective owners. All rights not expressly granted are reserved, and no license is granted by implication, estoppel or otherwise. Revoking this license does not affect records you keep under Section 6(g) or as the law requires.
10. Third-party sites and services
The Services may link to third-party platforms, including pricing engines, loan origination systems, servicing portals, review platforms and social channels. We do not control them and are not responsible for their content, availability, terms or privacy practices. Your use of a third-party service is governed by that service's terms. This Section addresses services you use directly. Providers that process information for us to deliver the Services are described in our Privacy Policy.
11. Communications
When you use the Services or email us, you consent to receive communications from us electronically, such as by email or notices in the Services. Where the law requires your consent to receive calls or text messages, we obtain it separately, as described in our Privacy Policy. For business and account communications with professional and authenticated users, electronic communications satisfy any requirement that a communication be in writing, to the extent the law and any governing agreement permit. Where a law requires that a disclosure be given to a consumer in writing, we will obtain the separate consent that law requires before delivering it electronically, and you may ask us for a paper copy. Where we offer a text-message program, its terms, including message frequency, cost and how to opt out, are provided when you enroll.
12. Disclaimer of warranties
The Services and all content, tools and AI output are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. We do not warrant that AI-generated responses are accurate, complete or current, or that the Services will meet any regulatory or investor requirement applicable to you. We do not warrant that the Services or any file or content obtained through them will be free of viruses or other harmful components. You are responsible for your own systems, security and backups. We make no warranty about the retention, training or other practices of any third-party provider we use.
13. Limitation of liability
To the fullest extent permitted by law, JMAC, its affiliates, and their respective officers, directors, employees and agents, and the service providers that help us deliver the Services, will not be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost business, loss of goodwill, or loss of data, arising out of or relating to the Services or any AI output, even if advised of the possibility. If the exclusion above is held unenforceable in whole or in part, the total liability of JMAC, its affiliates, and their respective officers, directors, employees and agents, and the service providers that help us deliver the Services, to you for all claims arising out of or relating to the Services will not exceed the greater of one hundred dollars or the amount you paid JMAC, if any, for access to the Services in the twelve months before the claim arose. Nothing in these Terms limits or excludes liability for fraud, willful injury to the person or property of another, gross negligence, or violation of law, or any other liability or right that cannot be limited or excluded under applicable law, including under the Consumers Legal Remedies Act and the Unfair Competition Law. Nothing in these Terms reduces either party's obligations under a separately executed agreement between you and JMAC. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you, and you may have additional rights.
14. Indemnification (professional users)
If you use the Services as a mortgage professional or business, or on behalf of one, the business you act for (or you, if you act for yourself) will defend, indemnify and hold harmless JMAC, its affiliates, and their respective officers, directors, employees and agents from third-party claims, losses and expenses (including reasonable attorneys' fees) to the extent arising from (a) Inputs or submissions made without the rights and authority these Terms require, (b) reliance on or distribution of AI output in violation of these Terms, (c) breach of these Terms, or (d) violation of applicable law, in each case by you or by that business's employees and agents. We may control the defense and settlement of a covered claim. We will promptly notify the indemnifying business of a covered claim and will not settle it in a way that requires that business to admit fault or assume nonmonetary obligations without its written consent. Where the business has an executed agreement with JMAC, that agreement's indemnification provisions govern instead of this Section. Accepting these Terms for business use does not make you personally responsible for your company's obligations to JMAC, although you remain responsible for your own conduct. This Section does not apply to JMAC personnel, to anyone who is not using the Services as or for a mortgage professional or business, or to any liability the law does not allow to be shifted, including JMAC's own fraud, willful misconduct or gross negligence.
15. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. If you or your company has an executed agreement with JMAC that contains its own dispute-resolution provisions (for example, the Wholesale Mortgage Broker Agreement), those provisions govern disputes within their scope. Any other dispute arising out of or relating to the Services will be brought exclusively in the state or federal courts located in Orange County, California, and the parties consent to personal jurisdiction and venue there. To the extent the law permits, before bringing a claim the claimant will give the other party written notice describing the claim, for JMAC at the contact information in Section 17, and at least thirty days to resolve it, except for claims seeking injunctive relief or to protect intellectual property, confidential information or the security of the Services; the time to bring the claim under this Section is extended by that notice period. Nothing in these Terms waives any right that cannot be waived under applicable law. Any claim arising out of or relating to the Services must be brought within one year after it accrues under applicable law, or it is permanently barred, except where applicable law requires a longer period or does not permit this limitation.
16. Changes to the Services; termination
We may modify, replace or discontinue any feature, model, data source or tool within the Services at any time, with or without notice. We may suspend or terminate your access to any part of the Services at any time, with or without notice. We may set, change and enforce limits on use of the Services, such as the number of requests, answers or sign-ins in a period, with or without notice. Features we identify as preview, pilot or beta are made available for evaluation only, may change or be withdrawn at any time, and are excluded from any response-time target or other commitment. The Services depend on third-party platforms, networks and providers. We do not guarantee that the Services will be available at any particular time, and we are not responsible for any interruption, delay, loss or failure caused by a third party or by any event beyond our reasonable control. Discontinuing a tool or terminating access does not affect any executed agreement, any obligation concerning a loan in process, or any record either party is required to keep. Sections 3 through 17 survive termination.
17. General
These Terms, together with any click-through acknowledgments or separately executed agreements referenced here, are the entire agreement about your use of the Services and supersede prior versions of these Terms. These Terms are for the benefit of you and JMAC only and create no rights in any third party, except that the persons protected by Sections 13 and 14 may enforce those Sections. Nothing in these Terms or the Services creates a fiduciary, advisory, agency or partnership relationship between you and JMAC. If any provision is found unenforceable, it will be limited or severed and the remainder will stay in effect. Our failure to enforce a provision is not a waiver. In these Terms, "including", "such as" and "for example" introduce examples and do not limit the words they follow, and headings are for convenience only. A breach of Section 3, 6(g), 7 or 9 could cause harm that money cannot fully repair, and JMAC may seek an injunction or other equitable relief in addition to any other remedy. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. Notices to you may be posted on the Services or sent to the contact information on file for you or your company.
